Agreement between Fashion-Enter Ltd (FE Ltd) and __________________________

for retail space at Enter boutique.

in respect of a licence for the allocated space at Unit 2 Centrale Shopping Centre, High Street Croydon Surrey (“the Units”) in accordance with the attached terms and conditions.

Fees:

Joining Fee (admin) one of payment of £25 (plus VAT) for 12 month period

Rental Fee £50 (plus VAT) per week.

Commission on sales 25% (on net sales)


The joining and rental Fee is payable in advance and no space will be allocated unless and until payment is received.

Cheques are to be made payable to Fashion Enter Limited and sent to Fashion House, First Floor, 28 Station Approach, Hayes, Kent, BR2 7EH, prior to the start of the Licence Period.


Terms & Conditions

This Agreement does not come into effect unless and until signed by both you AND the FE Ltd.

Licence Period
You must give FE Ltd not less than two weeks notice in writing if you intend to leave the Units before the end of your agreed Licence Period. No refund of the unused portion of the Fee will be made.

The maximum period of the licence is three months. (To be reviewed.)

Any extension to the Licence Period is at the sole discretion of LFF and shall be subject to payment in advance of the Fee for the extended period.

Failure to comply with these Terms and Conditions shall entitle FE Ltd to terminate the Licence.

Payment
Payment can be made by either cheque, cash or via credit card machine.

Refunds
No refund of the Licence Fee shall be made if the Units are not available for reasons outside the control of FE Ltd or because of the actions of the other designers.

Members
All applicants must be FE Ltd members.

Allocation of space within the Units
The Units will be shared with up to thirty other designers. The allocation of space within the Units shall be at the sole discretion of the FE LTd Manager. The space allocated to you (the “Allocated Space”) may be moved, adjusted or altered at the discretion of the FE Ltd Manager. You should expect your Allocated Space to be moved during the Licence Period.

Insurance
FE Ltd will have in place employers and public liability insurance. You must insure your own products against Theft, Malicious Damage, Shrinkage etc.

Management
There will be a manager appointed by FE Ltd (the “FE Ltd Manager”). You will be required to support the FE Ltd Manager by offering advice, support, PR contacts and any other activity that may benefit the sale of your collection and the kudos of the unit.

Responsibilities
Absolutely no smoking and drinking is permissible in the Units.

You have a responsibility to keep your own stock on delivery clean, correctly labelled, presented on wooden hangers (if hanging), presentation of a delivery note and notify the Manager of any potential or perceived problems with stock on display at the unit.

The Units will not be left unattended at any time during opening hours.

The use of the telephone and ISDN line is not available for personal use. Before use consent must be given from F. E. Ltd representative and/or manager.

It is in the interests of each designer to generate optimum press, publicity and promotion to ensure the success of the project for each party involved. The retail unit is for business purposes only.

Opening Times
The Units

Monday - Wednesday 9.30am - 7pm  

Thursday 9.30am - 9.00pm

Friday 9.30am - 7pm

Saturday - Sunday 11am - 5pm

Christmas Holiday
The Units will be closed Christmas Day, Boxing Day and New Year’s Day.

Delivery, Stock and Replenishment
It is your responsibility to monitor your own stock levels and arrange for deliveries and replenishments. A full inventory of your collection along with a price list for each inventory item must be submitted, prior to occupancy you must obtain an authorised signature to sign off all the delivery notes for any new stock.

You are responsible for providing the agreed display equipment for your stock See attached “Agreed Display Equipment”.

Point of sale, ticketing, pricing, sales receipts, hangers, are also your responsibility and must be submitted in advance for approval by F.E. Ltd.

Sales
You may sell your goods that are on display in the Units. The property of the garments remains the risk and responsibility of the designer until the sale has been concluded. Credit card machines will be available and all cheques by customers will be made payable to Fashion Enter Ltd.

PAYMENT & ACCOUNTING TERMS

Statements:
Statements will be issued by the 6th working day for the previous month. The dates for the rest of the year are as follows:

Payment method:
Payments will be made by cheque only. No advances or transfer payments will be given.

Deductions:
FE Limited will deduct any amounts due in regards to commission, rent and membership fees.

VAT:
You are responsible for accounting to the tax authorities for any applicable VAT on the sale. If you are VAT registered you must invoice Fashion Enter for the VAT on your net sales as per your statement, and we will pay you the VAT.

Fashion Enter Ltd cannot offer you VAT & Self assessment advise, if you have any queries please contact your accountant, the Inland Revenue or HMCE directly.

Liability for goods

The FE Ltd. Manager will use their best endeavours, and all that is reasonably necessary, to keep a record of Sales, Returns, Damage to Goods and enquiries made by, or reported to, the FE Ltd Manager or their representative.

You agree that FE Ltd shall not be liable for any loss or theft of stock, cash, AND cheques, any fraudulent use of credit or debit cards whether arising from the negligence of FE Ltd, the FE Ltd Manager or otherwise.

You warrant that the goods and their labelling are of satisfactory quality and comply with all applicable regulatory standards.

Disclaimer and indemnity
FE Ltd and Unit 2 Centrale Shopping Centre will not be held liable for any lost, stolen or damaged stock, property or materials in the Units.
You agree to indemnify and hold FE Ltd harmless in respect of any liability that LFF may incur;

(a) as a result of acting as your agent in concluding sales on your behalf; or
(b) out of any breach of your obligations or the warranties set out in this Agreement.

Departure
You must remove all your stock and any equipment and materials that belong to you on the last day of your Licence Period. FE Ltd take no responsibility to store or retain anything left in the Units (without prior written agreement from the FE Ltd Manager) and you agree that anything not removed by you may be disposed of by FE Ltd.

General
This licence agreement is non-transferable and applies only to the business entity whose name appears on this agreement.

English law applies and you agree to submit and dispute to the exclusive jurisdiction of the English Court
